Affiliate & Reseller Terms

1. Independent Contractor Status

Affiliates and Resellers ("Distributors") are independent contractors. This agreement shall not be construed to create any association, partnership, joint venture, employment, or agency relationship between you and the Company. You have no authority to bind the Company in any respect.

2. Compliance and Liability

Distributors are solely responsible for:

• Their own marketing methods and representations.
• Complying with all applicable laws and regulations in their jurisdiction.
• All tax obligations arising from their sales and commissions.

You agree to indemnify and hold the Company harmless from any claims, damages, or liabilities arising from your activities as a Distributor.
